SHARE DIGICORP GETS MINING INTEREST

DigiCorp has acquired a 25.5 percent interest in Pioneer Exploration, a mining company owned by Pioneer Oil and Gas.

In exchange for its interest in Pioneer, DigiCorp, a publicly traded computer software development company, will loan the mining company $80,000 and assume its estimated $18,000 in tax liabilities. DigiCorp also receives an option to buy an additional 212,500 shares of Pioneer Exploration for making the loan.The agreement also allows Pioneer Oil and Gas to repurchase 1 million shares of DigiCorp for $200,000 by Aug. 22, 1990.

"We made the investment . . . because we felt the potential in the mining property outweighed the risk due to the fact that three Apex type ore bodies have already been location on Pioneer Exploration's properties," said Gregg B. Colton, president of DigiCorp.

Pioneer Exploration owns 23,000 acres in claims surrounding the Apex Mine - a commercial grade deposit of gallium and germanium. The two ores are used in supercomputer chips, semiconductors and solar cells, and are being studied for pharmaceutical applications.
