Salt Lake-based time management company Franklin Quest Co. said Monday it has filed a registration statement for public offering of 2.5 million shares of common stock.

A spokesman said all of the shares are to be sold on behalf of selling shareholders and approximately 77 percent of the shares are being sold by charitable and educational institutions and former officers no longer employed by the company.Franklin has granted the underwriters an option for 30 days to purchase up to an additional 375,000 shares solely to cover over-allotments. Franklin will not receive any of the proceeds from the sale of the shares in the offering unless the over-allotment option is exercised.

The stock is listed on the New York Stock Exchange under the symbol FNQ.
